Welcome to Aixin Solutions . These Terms govern your use of our software services, website, and any related collaborations. By accessing our services, you agree to comply with these Terms.

We partner with trusted organizations to deliver innovative solutions. These Terms apply to all clients, partners, and users of our services in Sri Lanka and internationally.

1. Acceptance of Terms

By using our services, you confirm that:

• You are at least 18 years old or have legal guardian consent
• You agree to comply with all applicable Sri Lankan laws
• You will not misuse our services for illegal activities

2. Service Provision

2.1 Scope: We provide software development, consulting, and related services as agreed in individual project contracts.

2.2 Modifications: Services may be updated or discontinued with 30 days' notice.

2.3 Client Responsibilities: You must provide accurate information and cooperate with project requirements.

3. Intellectual Property

3.1 Ownership: All pre-existing IP remains with respective owners.

3.2 Deliverables: Unless otherwise contracted, IP for custom solutions transfers upon full payment.

3.3 Licenses: Third-party software components are subject to their original licenses.

4. Fees & Payments

• Fees are as specified in project proposals/contracts
• Invoices are payable within 30 days unless otherwise agreed
• Late payments incur 1.5% monthly interest
• All prices are in LKR unless stated otherwise

5. Confidentiality

Both parties agree to:

• Protect confidential information for 5 years post-engagement
• Only disclose to employees needing the information
• Not use confidential data for any purpose beyond the project scope

6. Limitation of Liability

6.1 Cap: Our liability is limited to fees paid for the relevant service.

6.2 Exclusions: We are not liable for:

• Indirect, consequential, or punitive damages
• Third-party service failures
• Events beyond our reasonable control (force majeure)

7. Termination

Either party may terminate engagements:

• With 30 days written notice for convenience
• Immediately for material breach
• Upon insolvency or bankruptcy proceedings

Termination does not affect accrued rights or confidentiality obligations.

8. Dispute Resolution

8.1 Negotiation: Parties will attempt good-faith resolution within 14 days.

8.2 Mediation: Unresolved disputes go to Colombo-based mediation.

8.3 Arbitration: If mediation fails, binding arbitration under Sri Lankan law applies.

9. Governing Law

These Terms are governed by Sri Lankan law. Any legal actions must be filed in courts in Colombo, Sri Lanka.
